remove both hardware devices from the device manager. Then shut the
computer down completely. Unplug it from the wall and take the cover off
and remove both hardware devices physically. When you reboot the computer,
both of the PCI slots will be open. Try to go into the BIOS and reserve the
one IRQ which the modem is trying to use. (You should determine the IRQ of
all devices and write them down to determine what is in conflict.) Usually
if you click on the System (computer icon in the control panel) you can see
an option to list all of the IRQ's. Something has to be conflicting or
using memory resources of the other device. Anyway try to reserve the IRQs
to a specific PCI slot and then try to use that PCI slot. This only works
on good, well-designed motherboards.

I would also contact both hardware vendors, along with the motherboard
vendor and report the problem.

Consider buying a different sound card or modem. Take one back and report
that it is not working for a refund. If something does not work take it
back and demand your money back!!!!
