Digital's Novell Volume Purchase Program

HIGHLIGHTS

o First Novell reseller to provide worldwide volume purchasing

o Multinational users have a single source for licenses, media, and
documentation for Novell network operating systems and groupware products

o Allows worldwide aggregation over full term of the agreement; increases
discount rates from 31 to 42 percent

o Applications are not part of this program in light of Novell's recent
decision to divest itself of that part of its business

PROGRAM DESCRIPTION

Digital already provides volume purchase programs for Microsoft and Lotus
products. With the Novell Volume Purchase (NVP) program agreement,
Digital can now offer a multivendor package of license and product volume
purchasing services for the most popular office applications and network
operating system (NOS) software.

The NVP program is a two-year program designed to allow participants with
a modest $40,000 initial purchase (list price), to receive immediate 31
percent discounts and free media on the first license purchased for each
product type. Each subsequent purchase of $1,000 or more over the
two-year agreement will aggregate to earn discounts of up to 42 percent.
At the end of two years, the agreement must be renewed. Participants will
retain their earned discount levels.

Authorized participant sites can phone or fax orders to an assigned
Software Acquisitions Service Center. Novell media and documentation are
delivered directly to single or multiple locations.

Digital provides consolidated monthly itemization of all invoiced
purchases, total program expenditures to date, and current discount
levels for each participant. Participants can also purchase Digital's
Novell Maintenance Services separately to receive automatic distribution
of media and/or documentation for version releases.

Electronic ordering and direct Internet distribution of Novell license
and binaries, and integration of Novell Maintenance Services are planned
for the third quarter of 1996.

BENEFITS

o Single, worldwide provider -- Users have greater control in managing
consistent software revisions, purchasing activity, and costs across the
   entire organization.

o Simple purchase aggregation schedule -- Users can include all network and
groupware product purchases for any worldwide geography to earn higher
   discounts.

o Flexible discounts -- Users are not locked into a discount rate at
program entry. They can continue to aggregate all purchases to earn
greater discount rates over the agreement term.

o Competitive pricing -- Users begin the purchase program with a modest
expenditure and a deeper discount than those offered by other reseller
   programs.

o Localized ordering and distribution -- Digital's worldwide presence
increases the ease and efficiency of acquisition for the multinational
   customer.

o Superior administration -- Users receive consolidated, itemized reports,
and aggregation credit on purchasing activity for an entire organization.

AVAILABILITY AND ORDERING

The Novell Volume Purchase program is available now in the Americas and
Europe (including the Middle East and much of Africa). The program will
be available in Asia/Pacific during the first half of 1996.

desktop software lifecycle solution.
