Remy,

At last I have found the cause.  The DLL imslsp.dll is a ZoneLabs component, 
and for the second time in the last year it is ZoneAlarm that has caused me 
grief.  My WorkPC doesn't have ZoneLabs, my HomePC did.  I've uninstalled 
ZoneAlarm and now my application frees the SysLog DLL and exits successfully 
(on its own and in the debugger).

I don't need the personal firewall anymore as I have a h/w FW Router, but 
this probably means that my DLL won't work on a PC with ZoneAlarm.

Sorry for wasting your time, although you have given me fresh ideas on 
writing DLLs with your code snippet (which I am now using)
