How to keep a form on top, but below another?

How can I use the HWND_TOPMOST constant in an API to keep a form always on top, second to a VB form that absolutely must stay on top? I used the bringToFront command and it worked too good. My c++ form should come second to the VB form and be always on top, except for when the VB form is over it. Is there any way I can do this? Thanks Al
