The whole truth is: not really.

You are trying to make one huge step - and it sounds

>uses MS-DOS based Serial communication functions
>encapsulated in a SERIAL.CPP class,

as if you have quite some hardware dependencies.

Independently of any compiler / IDE, you face the following problems:

a) migration from the straight-forward nature of DOS to the event-driven
system employed by Win32; most affected is the user-interface part.

b) hardware abstraction employed by Win32 prevents you from directly
   accessing hardware

c) C++ has changed over the years; now with ISO C++ in place, there is
   an fixed standard

Items a) and c) are solved rather nicely by C++Builder 4.0. Item b) will
give you some headaches, simply because you will have to redesign your
access to the serial port.

Tip: get yourself the trial version of C++Builder (see
http://shop.borland.com/) for the cost of shipping and handling and just
*try* it.
