Does anyone know of a utility for dos/windows (or unix) that I can use to
translate assembly to C++ code? I need to edit some old source code and want
to convert it over to c++. Thanks in advance for your help.

I have good news for you and bad news. The good news is the utility to
do it is free (in fact I have included it in this posting); the bad
news is that you probably won't want to run it even though it can
produce the best possible conversion under the circumstances. (I speak
from experience, I replaced an online system of over 200,000 lines of
assembly with a newer system programmed in C++). To use this
conversion script just type asm2cpp <filename> (no extension).

The source to asm2cpp.bat follows:

del %1.asm
edit %1.cpp

I will leave the unix port as an exercise for the reader.

Good luck,

George
