Metrowerks is a wholly owned subsidiary of Motorola and is under the 
managment of the semiconductor product sector division  (AKA Motorola 
SPS).  Motorola has decided to spin this Semiconductor Product Sector 
division off into a separate corporation and it will be listed on the 
stock exchange and have an initial price offering when it is launched.  
Metrowerks will be part of the new corporation.

Because of this IPO we (as part of the new FreeScale Semiconductor 
Corporation) are not allowed by the SEC to reveal any leading 
disclosures for something over 3 months away.
