Holas,
Para trabajar con ficheros .tex y sustituir los "&" de un texto por los "\&"
de TeX, con sed utilizo 
		cat fichero.txt |sed 's/&/\\&/g' >fichero.tex
Espero que te sirva de ayuda, supongo que con esa secuencia podras escapar
los "&".
