MOUNTAIN VIEW, Calif. -- October 27, 1992 -- Sun Microsystems Computer
Corporation (SMCC) and LEGENT Corporation announced today that they
have signed a cooperative marketing and joint development agreement to
port Legent's system management tools to the Sun(TM) SPARC(R)/
Solaris(R) platform. This agreement between the two companies will
give mainframe users who rightsize to a UNIX(R) client-server
environment the system management capabilities they are accustomed to
in a traditional mainframe data center. Legent is a leading supplier
of system software and services for the management and operations of
Information Systems (IS) enterprises with more than 64,000 products in
use at more than 10,000 customer sites.

SMCC will work closely with LEGENT to port LEGENT's system management
products to Sun SPARCserver(TM) and SPARCstation(TM) systems. LEGENT
will also support the OPEN LOOK(R) graphical user interface, making
system management in UNIX much easier than with most traditional
mainframe systems. Under the agreement, SMCC and LEGENT will pursue
joint marketing activities focused on meeting mainframe customers'
rightsizing requirements. According to analysts, many corporate users
are rightsizing with UNIX systems.

"Our view of the enterprise includes UNIX as a key component, and our
customers have been asking for our products on Sun systems, especially
software management, file transfer and software distribution," said Bob
Yellin, LEGENT's vice president of technology. "Sun's commitment to the
commercial computing market and its expertise in UNIX and distributed
computing is important to LEGENT as we build enterprise-wide systems
management solutions that take full advantage of the UNIX environment."

"Reducing business cycle times is the key benefit of rightsizing," said
Larry Hambly, vice president of marketing for SMCC. "LEGENT's products
on SPARC/Solaris systems give users a way to manage their mainframe
applications across the entire enterprise -- including the leading UNIX
client-server environment -- without changing the way they manage their
systems on the network."

LEGENT Corporation (NASDAQ Symbol: LGNT), headquartered in Vienna, VA,
is a leading international supplier of systems software and services
for the management and operations of IS enterprises. LEGENT's products
and services are designed to help customers maximize the full potential

Crafts Relationships with Open Systems Vendors

Vienna, VA October 27, 1992--LEGENT Corporation today announced that it
has entered into a series of relationships designed to expand the scope
of its enterprise-wide solutions. LEGENT has entered into a cooperative
marketing and joint development relationship with Sun Microsystems
Computer Corporation(SMCC) and has licensed two key enabling
technologies, the Galaxy Application Environment(TM) (Galaxy)from Visix
and PIPES Platform(TM) from PeerLogic. These relationships continue
LEGENT's extension of software management, file transfer, and software
distribution throughout the enterprise.

"Our customers' rapidly changing environment requires them to employ
consistent functionality while exploiting the underlying platforms and
technologies," said Bob Yellin, LEGENT's senior vice president of
technology. "These relationships will provide LEGENT with the enabling
technology necessary to achieve these goals. LEGENT plans to increase
the breadth of systems management functions on an increasing number if
platforms including IBM/AIX, HP's HP-UX."

The cooperative marketing and joint development relationship with SMCC
is designed to bring LEGENT's systems management tools to SMCC's
SPARC(R)/Solaris(R) platform. In addition, LEGENT will support the
OPENLOOK(R) graphical user interface. By working with SMCC, LEGENT
plans to more rapidly engineer key systems management products to take
full advantage of the open systems environment.

"LEGENT's entry into the UNIX client/server marketplace is significant
for our customers who require commercial quality products as they
rightsize their computing environments," said Larry Hambly, vice

those customers that SMCC and LEGENT will meet their commercial
computing requirements."

Under the agreement with Visix, LEGENT licensed the Galaxy Development
Environment(TM), an environment for the development of distributed,
graphical applications that are portable across a wide variety of
platform and graphical user interface environments. LEGENT is using
Galaxy to develop distributed systems management applications for
execution on multiple platforms within multiple graphical user
interface environments. In addition, furthering its committment to
IBM's SystemView architecture, LEGENT is funding the port of Galaxy to
the OS/2 platform.

"LEGENT's commitment to advanced enabling technologies, such as Galaxy,
reinforces their reputation for technical excellence and for providing
high-end solutions in the rapidly evolving corporate computing
landscape," said Jay Wettlaufer, president and CEO of Visix. "LEGENT's
blueprint for distributed systems in the enterprise represents the
clearest vision I have seen for large-scale computing in the 90s. We
are truly excited about this partnership."

relationship with PeerLogic, Inc. Under the agreement, LEGENT licensed
PIPES Platform(R), an advanced communications framework for distributed
computing that supports both client/server and peer-to-peer
applications architectures. With PIPES Platform, LEGENT acquires
protocol independent messaging, distributed resource management and
distributed naming services that will be used to build distributed and
client/server systems management applications that interoperate over a
wide variety of platforms and network protocols.

"We are seeing a growing need in today's highly competitive business
environment for robust and consistent systems management solutions that
integrate diverse computing environments," said Dan Gregerson,
president of PeerLogic, Inc. "We are pleased to be able to partner with
an organization of LEGENT's reputation, caliber and world-wide reach to
