PART OF PARAMIND BRAINSTORMING SOFTWARE IS FOR SALE After five years in the software business, Robert Pearson, the futurist-linguist behind the ParaMind Brainstorming Program, is offering his business for sale. "Basically, I just want to make sure that the company will be around in the future, and that it will begin to operate on the ground of a normal software company. When I started the company I went basically from being a poet to being Bill Gate's competition," Pearson says with a laugh. "After five years, it seems impossible for me to do what I originally intended in my business plan, and because I put my life savings and so much time into the business, my own personal financial picture has been tainted." Although ParaMind doesn't bring in a lot of money, it is just starting to show more promise. The current direction of the software company hasn't even scratched the surface of their business plan, but has had to stop short because of lack of cash flow and labor. "We've had a couple of typical business set-backs that we're beyond our control. And then we've had a couple of crazy ones. To start out with, my first partner decided not to be so much of a partner anymore and just said, "I want out. If you want the code to your program, you'll have to pay me for it." I already had the code, but I felt it was unethical to just take it from him. He took with him the programming muscle of our team. I then had to rely on programmers to give me their faith for a promise in return on speculation of profits. When these guys are getting paid $80,000 a year, it was a miracle we got ParaMind into the great shape it's in now." "Another set-back was that I decided to move from Seattle to NY for a year and then to Pennsylvania for a year. I was relying on some money from shareware registrations. The program had been distributed all over the Internet and also on CD-Roms. Then because I filled in a forwarding address card wrong the Post Office decided to close down the P.O. Box where I was getting registrations! I had all these little advertisements out in the form of shareware programs which were meant to last for several years and then they were all obsolete." Pearson realizes that since the program hasn't brought in a lot of money for ParaMind he can't ask for a lot up front. "I basically still want part ownership so I'm just selling the software company for less than what something like this should be worth on the market. We have legal protection (copyrights, patent office disclosure documents, etc. ) for our ideas so the partnership which I'm shopping for also gives the new co-owner the blessing of our new directions in our business plan." Pearson is asking for a flat out price of $150,000, and then the speculative terms of the agreement. Some of the aspects of the agreement are that the software company not be resold for a period of time, that Pearson is still managing director of the project, and that the business plan be followed. "It's not quite venture capital I'm looking for because I want to get a lot of this company into the hands of someone who has good business experience. I don't mind staying at the helm as far as my experience in software development and this type of new innovative software concept, but I need to work with someone who knows the business side of the market as well, and has a little more muscle than I to run this kind of company." The ParaMind program is totally configurable and can be used to logically expand any idea. It comes with a database of 450 related word categories, and you can add as many of your own as you like. Anything can be used as a text or made into a word category, including phrases or even symbols. It was given a Four Star Rating by Ziff Davis. It is being used in scientific research as well as business. ParaMind uses copying and merging of a text, combining it with new words that are grouped together in word categories. To merge simply means uniting or combining things. The word categories are words that have some relationship to each other, such as adjectives related to sight, or adverbs related to motion. In the text that you type or paste in, a word or two is selected that these new words will fit into. You hit a key and ParaMind takes your text and does a process on it like that of the mail merge program that is used to create form letters. The result is a new listing of your idea changed in any way you want.
