When I had something similar it took many hours to sort out. I found a 
trouble-shooting guide in the MS Knowledgebase which I went through (it took
me ages to find and I haven't kept the reference -- sorry).

First of all try to remember all changes you've made to the system recently,
however irrelevant, and take them out temporarily. (In my case it turned out
to be new PCI IDE drivers for my motherboard.)

Then check everything possible systematically. Try using a standard VGA 
driver. Remove all programs loaded automatically at startup. Remove
everything possible from AUTOEXEC.BAT and CONFIG.SYS. Remove drivers or
replace them by minimal ones.

Maybe you'll be lucky and find it quickly.
